1. What this document is
This is placeholder text. It was written by the Birchpoint team to build and test the mechanism that serves, versions and records acceptance of legal documents. It has not been drafted or reviewed by a lawyer. It is not a contract, it creates no rights and no obligations, and nothing recorded against this version has legal effect.
The final Website Terms of Use are being prepared by external counsel and will replace this text in full. When that happens this document gets a new version identifier, and any acceptance recorded against this version will be plainly distinguishable from acceptance of the real text.
2. Who operates Birchpoint
Birchpoint is a service of Axxon Labs Inc., an Ontario corporation. The legal entity is Axxon Labs Inc.; "Birchpoint" is the name of the service.
3. What Birchpoint does, and what it does not do
Birchpoint collects documents from applicants and checks them against criteria that the customer's own staff define. The system checks; a person approves. Nothing in the product approves anything, and a check is not a statement that a document is authentic, truthful, or sufficient for any legal or regulatory purpose.
The AI features can make mistakes. Their output is information, not advice.
4. No warranties, no service levels
The service is provided as-is. During this period there is no uptime commitment, no support commitment, and no service level of any kind.
5. Availability may change without notice
Axxon Labs Inc. may modify, suspend or discontinue the service, in whole or in part, at any time and without notice.
6. Intellectual property and feedback
Axxon Labs Inc. owns the service, its software, and its criteria library. Nothing here transfers any of it. Feedback, suggestions and feature requests may be used freely and without obligation.
7. Where data is stored
Data is processed and stored outside Canada, using third-party infrastructure providers (cloud hosting, database and storage, AI processing, transactional email). Categories of provider are disclosed; a current list is available on request.
8. Quebec and Alberta exclusion — placeholder clause
This clause mirrors a restriction that is already enforced in the product. Birchpoint is not offered to organizations located in Quebec or Alberta. Sign-up from either province is refused at the point of account creation, on both the province you declare and the location your connection reports.
This exclusion exists because provincial privacy regimes in those two provinces (Quebec's Law 25 and Alberta's PIPA) carry obligations that Birchpoint is not yet set up to meet. It is a commercial and timing decision, not a statement about those laws. It will be lifted when the platform is ready to serve those provinces, which requires its own legal work and a new version of this document.
If the code and this clause ever disagree, the code is what actually happens — and the disagreement is a bug to be reported, not a permission.
9. Liability
To the fullest extent permitted by law, Axxon Labs Inc. accepts no liability arising from use of the service during this period.
