1. What this document is
This is placeholder text standing in for the Birchpoint customer agreement — the Master Services Agreement and its schedules (data processing, roles and no-advice, service levels, acceptable use).
It has not been drafted or reviewed by a lawyer. It is not a contract. Accepting it records that a person clicked Accept on this version, and nothing more. It creates no rights and no obligations for anyone.
The real package is being prepared by external counsel. When it arrives it replaces this text in full and carries a new version identifier, so an acceptance of this placeholder can never be mistaken for acceptance of the agreement.
2. Parties
Axxon Labs Inc. (Ontario corporation), operating the Birchpoint service, and the customer organization whose administrator accepts this document.
3. What the service does
Birchpoint collects documents and form answers from the customer's applicants and checks them against criteria the customer defines or adopts. The system checks; the customer's staff approve. A check is not a determination that a document is authentic, truthful, or sufficient for any legal or regulatory purpose, and Birchpoint's starting criteria are a template, not legal, regulatory or professional advice.
4. AI processing
Some checks and assistant messages are produced by AI models operated by a third-party provider. AI output can be wrong. It is information, not advice. Customer data is not used to train machine-learning models.
The assistant communicates with applicants in the customer's name. The customer is responsible for those communications.
5. Data protection — placeholder
Data is processed and stored outside Canada. Sub-processor categories: cloud hosting, database and storage, AI processing, transactional email. A current list is available on request. Deletion on termination, retention required by law, breach notification and audit rights are all matters for the real agreement and are deliberately not stated here.
6. Quebec and Alberta exclusion — placeholder clause
Birchpoint is not offered to organizations located in Quebec or Alberta. This is enforced in the product at account creation. See the matching clause in the Terms of Service.
7. No warranties, no service levels, no liability
Provided as-is. No uptime or support commitment. To the fullest extent permitted by law, no liability is accepted during this period. The real agreement sets out warranties, service levels, indemnities and a liability cap; none of that is stated here.
8. Acceptance
Acceptance is by clicking Accept. The record kept is: who accepted, which document, which version, and when. Because this version is placeholder text, that record has no legal value and exists to prove the mechanism works.
